By purchasing one of our programs or services or accessing our sites, you confirm:

By purchasing our products, you (herein referred to as “Client”, “You”, “They”, “User”, “Participant”) agrees to the following “Terms of Service”

EsellersRI LLP, (herein referred to as, “we,” “us”, “our”, “Company” or “EsellersRI”) provides you access to the EsellersRI (“Services”) including its program, applications, websites, course material, and to the information, services and other materials available on and through the sites, subject to the terms and conditions described in this (“Terms of Service”) and any other guidelines, rules or licenses posted in connection with our services. EsellersRI does not knowingly collect, either online or offline, personal information from persons under the age of 13. You affirm that you are 18 years of age or older and are fully able and competent to enter the terms set forth in these Terms of Service and our Privacy Policy. If you are under 18 years of age, then you may not use the Site or Online Courses without having your parent or legal guardian read and accept these Terms of Service.

Your Acceptance of These Terms of Service

You are authorized to use the Site or Services only if you agree to abide by all applicable laws, rules and regulations and these Terms of Service. By accessing and/or using the Services, you agree to be bound by these Terms of Service, whether you are: (I) a “User” (a non-paid registered subscriber), or (II) a “Member” (meaning that you have registered with EsellersRI and have enrolled in and paid for access to services and/or content provided by EsellersRI). The term “User” refers to a Visitor or a Subscriber.

Rather than jury trials or class actions, these Terms of Service contain an arbitration provision that requires the use of arbitration on an individual basis to resolve disputes, and also limits the remedies available to you in the event of a dispute.

To use the services, you must assent to this agreement by clicking “I accept,” when registering for our services and agree to these terms of service. If you do not agree to these terms of service or any section, then you may not access or use the services provided by EsellersRI. Acceptance is expressly conditioned upon (a) your agreement to all the terms and conditions of these terms of service. (ii) your pre-payment of the applicable course or service fees. 

Modifications

We may, at any time, revise these Terms and Conditions. You agree to be bound by subsequent revisions and agree to review the Terms periodically for changes to the document. The most up to date version of the Terms will always be available for your review under the "Terms of Service" link that appears at the bottom of the site. We will notify you of any material changes to the terms and conditions of this Agreement or to any service or other feature of the Services. If you do not accept such changes your use and/or access to the Services will be terminated. Any change or modification to these Terms of Service will be effective immediately upon posting by EsellersRI on a Site.

User Communications

When you visit our sites or send e-mails to us, you are communicating with us electronically. You consent to receive communications from us electronically all, documents, communications, notices, agreements, and disclosures that we provide in connection with your User Account and your use of the Services. Notices may be emails with promotional marketing, and advertising information and recommendations that we believe may be of interest to you. If you do not wish to receive emails, you may unsubscribe. By providing your phone number, you consent to receive phone calls, and text messages relating to the Services.

User Accounts and User Registration

You agree that no joint venture, partnership, employment, or agency relationship exists between you and us as a result of these Terms of Use or your use of the Site or Courses or Services. To use the Site and take part in the Online Courses, you must purchase the services and then select a login identification (“User ID”) and a user password (“User Password”). You agree to not give out, divulge, lend, or share access of your User Account with any third party for any reason regardless of relationship. If you do not qualify, you may not attend the Online Courses or services.

You may be prompted to enter additional information, including but not limited to your name and email address, billing address phone number. You understand and agree that all information provided by you is accurate, current, and complete and that you will maintain and update your information to keep it accurate, current, and complete. If any information provided by you is untrue, inaccurate, not current, or incomplete, we reserve the right to terminate your use of the Services and your enrollment in the Online Courses.

As part of your use of the Services, we may obtain information about you and your performance in the Online Courses or programs. Some of this information may be personally identifiable information. We may use, maintain, and store this information to provide certain services to you now and in the future and may share such information with third parties. For example, we may share certain materials or information about you with third parties, including your screenshots of sales, scores in our classes, messages in the groups.

By accepting these Terms of Service, you are accepting our Privacy Policy.

EsellersRI and the instructors of the Online Courses reserve the right to alter, delete, modify, or rearrange the schedule of topics for the Online Courses. By registering, you agree to not share your login information with any other person regardless of affiliation. If we find that you are sharing logins of your account, you will be permanently terminated without notice and without possibility of refund.

User Conduct Policy

As a condition of accessing the Site and/or using the Online Courses, you agree not to post, upload, or transmit to or otherwise make available through the site or any groups or chat rooms any content, communications, or other information that is obscene, fraudulent, indecent, or libelous or that defames, abuses, harasses, discriminates against or threatens others; that is trade libelous, unlawfully threatening, unlawfully harassing, impersonate or intimidating to any person or entity (including our staff or other Users).

Prohibited Usage

Under all circumstances, you are strictly prohibited from permitting, assisting, or enabling any third-party individual or entity not authorized (non-paying User) from accessing or using our Services. If your account information is lost or stolen, or if there are reasons to believe that the Services has been accessed by an unauthorized user, you are required to immediately contact support@amazonlit.com. Notwithstanding any provision to the contrary, nothing in this document shall be construed, interpreted or applied to impose responsibility or liability on us or our affiliates for any and all activities arising from the authorized use or unauthorized access of the Services.

The following activities are prohibited and will result in immediate Services suspension or cancellation of the Services without the possibility of a refund, but with the possibility for EsellersRI impose supplementary fees and/or pursue civil remedies, in case of legal damages:

• Fostering or promotion of illegal, abusive, or irresponsible behavior.

• Misuse of system resources, such as programs that consume excessive network capacity, CPU cycles, or disk IO, disruption or interference of any data system or network, unauthorized collection or use of e-mail addresses, screen names or other identifiers, use of the Services to distribute software that covertly gathers information about a user or covertly transmits information about the user, monitoring data or traffic on any network or system without the express authorization of the owner of the system or network;

• Reproduce, duplicate, copy, sell, resell, or exploit for any commercial purposes any portion of the Online Courses, programs, or services.

• Spam, Unsolicited Bulk Email, Forged Email, Phishing Email, etc.

• Transmission, distribution, or storage of any information, data or material that is protected by copyright, trademark, trade secret, or any other intellectual property rights. Any usage that prompts the receipt of abuse complaints pertaining to violation of any international copyright law will be discontinued.

• Access to other computers or networks without authorization.

• Providing false data on any contract or application: including fraudulent use of credit card numbers.

• Any conduct that is likely to result in retaliation against the EsellersRI network or site, including engaging in behavior that results in any server being the target of a DoS attack.

• Any attempt to probe, scan, penetrate or test the vulnerability of EsellersRI systems or networks, or to breach the EsellersRI security or authentication measures, whether by passive or intrusive techniques.

• Any other activities viewed as illegal or harmful by any jurisdiction.

Intellectual Property Rights

EsellersRI logos, trademarks and service marks which may appear on the Site are the property of EsellersRI and are protected under United States and international copyright laws, treaties, and conventions.

The Services are owned and operated by EsellersRI and its licensors. All content or other material available on the Site or through the Online Courses, including but not limited to on-line lectures, speeches, video lessons, quizzes, presentation materials, interviews, homework assignments, programming assignments, programs, code, PDF, and other images, text, layouts, arrangements, displays, illustrations, documents, materials, audio and video clips, HTML and files (collectively, the “Content”), are the property of EsellersRI and/or its affiliates or licensors and are protected by copyright, patent and/or other proprietary intellectual property rights under United States and international copyright laws, treaties and conventions.

EsellersRI reserves the right at any time and from time to time to modify, discontinue, temporarily or permanently, the Services or any part or portion thereof, with or without notice to you. You agree that EsellersRI shall not be liable to you or to any third party for any modifications, suspensions or discontinuance of the Services, or any portion thereof. Nothing in these Terms of Service shall be construed to obligate EsellersRI to maintain and support the Services or any part or portion thereof, during the Term of these Terms of Use.

Except as otherwise expressly permitted in these Terms of Service, you may not copy, sell, resell, display, reproduce, publish, modify, create derivative works from, transfer, distribute or otherwise commercially exploit in any manner the Services or any Content. From time to time, EsellersRI may use software, code, instructions, or other such information in the Content or materials for the Services; any such information is provided on an “as-is” basis for instructional purposes only and is subject to the Limitation of Liabilities sections below and other terms herein. Any use of such information for commercial purposes is strictly prohibited. EsellersRI and/or its affiliates and licensors reserve all rights not expressly granted herein to the Services, Content, and Marks. You may not reverse-engineer, decompile, disassemble, or otherwise access the source code for any software that may be used to operate the Services.

Earnings Disclaimer

Every effort has been made to accurately represent this product and its potential. Every online business is different, employing different strategic approaches and organizational structures, and offering different products and services. Therefore, individual results will vary from user to user.

License to Use the Online Courses and the Site

As used herein, “Educational Content” means the educational materials made available to you through the Online Courses, programs and services including such online lectures, speeches, video lessons, quizzes, interviews, PDF’s, presentation materials, and other educational materials and tools. Subject to your compliance with these Terms of Service, EsellersRI hereby grants to utilize the Educational Content for your personal internal use only. The license granted to you does not include, and specifically excludes, any rights to: resell or make any commercial use of the Website or any Educational Content; collect and use any product listings, descriptions, or prices; make any derivative use of the Website or Content. You may not delete any attributions, legal or proprietary notices on the Site or in the Course Content.

User Content

The Online Courses, Site, and Services contain comments sections, discussion forums, or other interactive features (“Interactive Areas”) in which you may post or upload user-generated content, comments, video, photos, messages, other materials or items, media for social interaction, prepare written, photographic, and/or video testimonials and/or comments, (collectively, “User Content”). You grant EsellersRI to use any User Content. You hereby grant EsellersRI an irrevocable, worldwide, perpetual, royalty-free, sublicensable, and non-exclusive license to use, publish, reproduce, modify, adapt, edit, translate, create derivative works from, incorporate into other works, distribute, sublicense (through multiple tiers) and otherwise exploit such User Content (in whole or in part) in any form, media or technology now known or hereafter developed, including without limitation for any commercial, advertising, and/or publicity purpose(s) You or any third parties will not be compensated for any exercise of the license granted under this section. We are not responsible for the accuracy or credibility of any User Content, and do not take any responsibility or assume any liability for any actions you may take as a result of reading User Content posted on the Websites or Courses. You further agree that EsellersRI may publish or otherwise disclose your personal information in connection with the exercise of the license granted under this section. You agree to waive, and waiver, any claims arising from or relating to the exercise by EsellersRI of the rights granted under this section, including without limitation any claims relating to your rights of personal privacy and publicity. EsellersRI is and shall be under no obligation (1) to maintain any User Content in confidence; (2) to pay compensation for any User Content. EsellersRI reserves the right to remove any User Content at any time and for any reason.

Use of Communication Tools

The Online Courses may provide you with the ability to post messages to User forums or User review pages, enter chat rooms or send messages and communications to third party service providers, other Users and/or EsellersRI. You acknowledge and agree that such services may be monitored or recorded for quality control purposes and that the information or material provided as part of the services is considered “Content” under these Terms of Service and is provided for educational purposes only. You agree to use communication tools available on the Online Courses only to send communications and materials related to the subject matter for which EsellersRI provided the communication method.

Payment Terms

To purchase any services or products offered by EsellersRI through the Site, you must use a current valid accepted payment method as indicated during sign-up (“Payment Method”). You also agree to pay the applicable fees for the services or products you purchase through the EsellersRI Site as they become due, whether on a one-time purchase or subscription basis. Subscription plans renew automatically unless cancelled in advance of the next payment period by you. Recurring payment option products are non-refundable but can be cancelled anytime. EsellersRI retains the right to suspend access to any program if payments are not made as they are due. For certain services Clients can choose between monthly installments or to pay in full. Once payment is remitted partially or in full you are committing to our Terms of Service. Please note that if you choose to pick the installment payment option, you are responsible for all payments unless a refund is requested according to the terms further outlined below.

EsellersRI Action Based Refund Policy

Customers are entitled to a full refund within 10 days if they complete the following “EsellersRI Action Based Refund Requirements”. We will not provide refunds if the below requirements were not met. We will NOT provide refunds more than 10 days following the date and time of purchase. After day 10 all payments are non-refundable, and you are responsible for full payment. The below requirements are the natural course of action of the program and not difficult if a client is committed and invests the time.

EsellersRI Action Based Refund Requirements

1) You must fully watch 100% of Module 1 through Module 6 and mark as complete

2) You must not watch Module 7 or further into the program. (we use a database provider who provides accurate metrics regarding viewership of total program content)

3) You must complete with a passing grade (80% or higher) all assessments or quizzes.

4) You must attend 1 (one) live coaching call within those 10 days and be active as a participant. (i.e., ask questions, leave comments, respond to questions or comments.)

5) You must participate in the private Facebook group with one post and one comment.

6) You must complete the assignment from Module 4 of Finding 50 supplier leads and submit the results to support@amazonlit.com. And must provide email proof that you reached out to these 50 distributors using the templates provided.

*If you opted for a payment plan and you do not request a refund within 10 days from purchase date by submitting proof of completion of the EsellersRI Action Based Refund Policy to support@amazonlit.com,you are required by law to complete the remaining payments of your payment plan.

If the student does not complete all requirements above within 10 days and requests a refund by emailing support@amazonlit.com - they are not entitled to a refund. Refund requests within 72 hours of purchase may require additional verification to prevent piracy. If you select the recurring payment option, we are not able to stop payments without a cancellation request. If payments are not made on time, you agree to pay interest on all past-due amounts at a rate of 3% per month or the highest rate allowed by law, whichever rate greater.

Services Availability

You acknowledge and agree that EsellersRI’s services and products, may always not be available, and that certain usage limits may apply (i.e. Site maintenance). We may limit the availability of the Site to any person, geographic area, or jurisdiction we choose, at any time in our sole discretion. You also understand that EsellersRI, at its sole discretion, may limit, suspend, or terminate your use of all EsellersRI-provided Services related to EsellersRI’s Services and may modify or discontinue all Services related to its programs at its sole discretion.

Client Responsibility 

You expressly acknowledge and agree that your use of the Site, the Online Courses and all Content and Services available on the Site is at your sole risk and responsibility and is to be used for education purposes only. The online courses (including any content), site, and services are provided “as is” and “as available” with no representations or warranties of any kind (whether express, implied, or statutory). We do not warrant that (a) the site, content, services or the online courses will meet your expectations or achieve the intended purposes, (b) the site, content, services or the online courses will not experience outages or otherwise be uninterrupted, timely, secure or error-free, (c) the information or content obtained through the site or the online courses, such as chat room services, will be accurate, complete, current, error- free, completely secure or reliable, or (d) that defects in or on the site or content will be corrected. You assume all risk of injury, including damage to personal property or lost data, sustained from use of the online courses and content.

Limitation of Liability and Consequential Damages Waiver

To the fullest extent permitted by applicable law, EsellersRI’s total liability arising from or in connection with these terms and conditions and in relation to anything which we may have done or not done in connection with these terms and conditions and the delivery of the Service shall be limited to the payment received by us in connection with the relevant service, Online Course or Taught Course in relation to which a dispute has arisen. In no event shall EsellersRI, its subsidiaries and affiliates, and each of their officers, directors, agents, employees, assignees, agents or suppliers be liable for any special, incidental, indirect or consequential damages, lost revenue, lost profits, damages or liability based on your revenue, or lost or damaged data, or damages or liability based on the amount or duration of use of a product and/or service, arising from any type of claim whatsoever.

Binding Arbitration and No Class Actions

Any dispute arising out of or relating to these Terms of Service, the Site, and/or the Services shall be resolved through binding arbitration. The parties agree to submit their dispute to an impartial arbitrator authorized to resolve the controversy.

Linking to Other Sites

Services may contain links to pages on other websites (“Linked Sites”), and those Linked Sites may contain content or offer products and/or services for sale. EsellersRI does not author, edit, control, or monitor these Linked Sites. You acknowledge and agree that (a) we have no responsibility for the accuracy or availability of information provided by Linked Sites, (b) we do not control the sponsors of such Linked Sites or the content, products, advertising, or other materials presented on such Linked Sites, and (c) we will not be liable for any transactions conducted by you with third parties through the Linked Sites or for any liability arising from the representations or information provided on such Linked Sites. We may add or remove any Linked Sites from the Services, Site or Program at any time for any reason or for no reason.

Indemnity

You agree to indemnify, defend and hold harmless EsellersRI, its subsidiaries and affiliates, and each of their officers, directors, agents, employees, employers, trustees, successors and assignees from any and all claims, including without limitation, claims, damages, judgments, awards, settlements, investigations, costs, attorneys fees, and disbursements made by the Client or any third party relating to or arising out of (a) your use or attempted use of the Services, Site or Online Courses in violation of these Terms of Service; (b) your use or attempted use of any code, program, data, information or any other Content provided on the Site or through the Website and Courses in a manner inconsistent with these Terms of Service; (c) your use or your violation of any law or rights of any third party; or (d) your information you post or otherwise make available on the Site or through the Online Courses, including without limitation your User Content and any claim of infringement of intellectual property or other proprietary rights. Client recognizes and agrees that the Company and its subsidiaries and affiliates, and each of the officers, directors, agents, employees, employers, trustees, successors and assignees shall not be held personally responsible or liable for any actions or representations of the Company.

Termination of Rights

By purchasing any of our products, Online Courses or Services you agree that EsellersRI may, at its sole discretion, terminate this Agreement, and limit, suspend, or terminate Client’s participation, use of the Site, Courses or Services without refund or forgiveness of monthly payments. Termination, limits, deactivation or suspensions can be for any reason or no reason, including, without limitation, if EsellersRI believes that you have (a) breached these Terms of Service; (b) provide any Registration Information that is untrue or inaccurate, not current, or incomplete; (c) infringed the intellectual property rights of a third party; (d) becomes disruptive to Company or Participants; (e) posted, recorded, downloaded, uploaded, or transmitted Unauthorized Content to or from the Site. You agree that any deactivation or termination of your access to the Site or Online Courses may be effected without prior notice to you and that EsellersRI shall not be liable to you nor any third party for any termination of your account. You also acknowledge that EsellersRI may retain and store your information on EsellersRI’s systems after any termination of your account.

Enforcement

All other parts of these Terms of Service will remain in effect unless otherwise provided herein. Our failure to insist upon or enforce your strict compliance with these Terms of Service will not constitute a waiver of any of our rights. EsellersRI may freely transfer or assign any portion of its rights or delegate its obligations under these Terms of Service. You shall not transfer or assign, by operation of law or otherwise, any portion of your rights or delegate your obligations under these Terms of Service without the prior written consent of EsellersRI.

Force Majeure

If the use and execution of the Services are wholly or partly prevented or materially impeded by circumstances beyond both parties control, (i.e. acts of God, war, terrorism) EsellersRI will not be responsible to you for any delay, damage, or failure caused or occasioned by any act of nature or other causes beyond our reasonable control.

In the event that law, rules or regulations applicable to the use or delivery of the Services is changed or new rules or regulations are adopted after the Services have been made available on the market and this prevents EsellersRI from fulfilling your instructions regarding processing of personal data or other obligations in this Agreement, and/or this requires full or partial termination of access to the Services for a limited or indefinite period of time, this shall be considered as a force majeure circumstance. EsellersRI is not in any way responsible for any such or other force majeure circumstance.

Changes to Terms

These Terms, or any part thereof, may be modified by us, including the addition or removal of terms at any time, and such modifications, additions or deletions will be effective immediately upon posting. Your use of the Websites after such posting shall be deemed to constitute acceptance by you of such modifications, additions, or deletions.

Entire Agreement

This Agreement together with the Privacy Policy and Earnings Disclaimer constitute the entire agreement between the parties concerning the contractual relationship.

No change, consent or waiver to this Agreement will be effective unless in writing and signed by the party against which enforcement is sought.

Acknowledgment of Terms

You acknowledge that you:

(a) have read this agreement prior to initiation of use of our Services.

(b) understand the terms of this agreement.

(c) have clicked the box before checkout voluntarily requesting the use of our Products and Services (this is the only way to continue with payment)

Our Minimum Guarantees
